1. Buyer can purchase once in a calendar year at most 150% of the monthly quantity in one certain month and then purchase 50% of the monthly quantity in the following month for Buyer’s annual maintenance purpose only.

Should Buyer for any calendar month under this contract be offered, in good faith, a lower delivered price for like quantity, on material of at least equal quality and specification, by a responsible manufacturer of such material not affiliated with Buyer, and on terms and conditions of sale that are no less favorable to Seller than those set forth herein, and furnish Seller with Reasonable Written Proof such as an email (including the price, payment terms, INCO Terms (2010), any contemplated changes therein, and the quantity set forth in the Offer) with 10 days written notice prior to the first day of the following calendar month, Seller will, at its option, either (a) supply during such calendar month at the lower price or (b) supply during such calendar month at a negotiated price agreed to by both Buyer and Seller or (c) permit Buyer to purchase this quantity at the lower delivered price from the manufacturer making such offer.

4. Title and risk of loss to Product shall pass from Seller to Buyer at the delivery point as determined by the applicable Incoterms rule.

5. By the fifteenth (15th) day of each calendar month, Buyer shall provide Seller with a rolling forecast of Buyer's purchase requirements for the Product for the next three calendar months. The quantity set forth in such forecast, for the first month of such forecast period, shall be considered a binding forecast for the next calendar month, provided the Parties are able to reach agreement on price for the next calendar month as detail in the price section above.

In exchange for extension of credit by Seller, Buyer agrees to furnish Seller with sufficient financial information to allow Seller to perform adequate due diligence necessary to support credit needs.
