1. The Supplier will indemnify the Customer from and against any and all expenses, damages, claims, suits, losses, actions, judgments, liabilities, fees and costs whatsoever arising out of, connected with, or resulting from, a breach of clause 18.

6. The Service Provider shall defend, indemnify and hold harmless Party B, its Affiliates, its directors, officers, employees and representatives from and against any and all direct claims, liabilities, losses, damages, fines, penalties, costs, expenses, settlements with Customers, orders and judgments passed by a court of competent jurisdiction (including reasonable legal fees) (each, a "Loss", and collectively, the "Losses") arising out of (a) death of or injury to, or damage to any tangible property caused to any Person, arising as a direct consequence of any Services rendered under this Agreement; (b) any breach by the Service Provider of the provisions of Applicable Laws; (c) any deficiency in Service, or other breach of its obligations under this Agreement; (d) any breach of its representations, warranties or covenants under this Agreement; (e) breach of its confidentiality obligations hereunder; (f) any gross negligence or willful misconduct by the Service Provider or any of its employees, agents, personnel or representatives; and (g) any infringement in connection with its Services.

Party A shall indemnify and hold Client, and its officers, directors, shareholders, employees, successors, agents, and assigns (“Client Indemnitees”), harmless from and against any third-party claims, liabilities, damages, judgments, or other losses (including attorneys’ fees) imposed upon or incurred by Client Indemnitees arising out of or as a result of any intentional acts or gross negligence of Party A, or its officers, directors, employees, or other agents, in connection with the performance of any of their respective obligations under this Agreement.

Partner shall indemnify and hold Party A, its officers, directors, employees, shareholders, agents and affiliates harmless, from and against any and all losses, damages, costs and expenses based on, resulting from or arising in connection with: (1) any violation of any Anti-Corruption Law on the part of Partner or on the part of Party A if such violation is based on the actions of Partner; (2) any breach of any warranty or the inaccuracy of any representation of Partner contained herein; or (3) any failure of Partner to perform any of its obligations contained in this certification.

The Supplier shall keep the Customer Party indemnified in full against all costs, expenses, damages and losses (whether direct or indirect), including any interest, fines, legal and other professional fees and expenses awarded against or incurred or paid by the Customer Party as a result of or in connection with any claim brought against the Customer Party for actual or alleged infringement of a third party's Intellectual Property Rights arising out of, or in connection with, the receipt, use or supply of the Services and the Deliverables.

Notwithstanding any rights and remedies that are available to and may be exercised by the Power Purchaser in this regard, the Company agrees to indemnify the Power Purchaser for any loss or damage incurred by it on account of its corrupt business practices and further pay compensation to the Power Purchaser in an amount equivalent to ten (10) times the amount of any commission, gratification, bribe, finder's fee or kickback paid or given by the Company (either directly or indirectly through any natural or juridical Person, including its Affiliates, employees, agents, associates, brokers, consultants, officers, directors, promoters, shareholders, sponsors or subsidiaries (and any of their employees, agents, associates, brokers, consultants, officers, directors, promoters, shareholders or sponsors)), as aforesaid for the purpose of obtaining or inducing the procurement of this Agreement or the Power Purchase Agreement or any contract, consent, approval, right, interest, privilege or other obligation or benefit related to this Agreement or the Project from the Power Purchaser or any Public Sector Entity.
