1. If either Party is unable to perform its obligations hereunder due to force majeure, including natural disaster, explosions, fires, turmoil, road blockades, port embargoes, government negligence, pandemic, banking system failure, or other similar or non-similar events beyond such Party's ability to predict and control, the affected party shall inform the other Party within three days after the occurrence, and the Agreement will be terminated automatically, and Party A shall refund the fees already paid by Party B, except for the expenses actually incurred by Party A in providing services to Party B.

2. Provided, that each of the events described in clauses (d)(i), (ii) or (iii) shall constitute Force Majeure Event to the extent that such events or circumstances are caused by an event or circumstance that is itself a Force Majeure Event, whether experienced directly by the Company or any of its Contractors.

3. Provided, however, that no relief, including the extension of performance deadlines, shall be granted to the affected Party pursuant to this Section to the extent that such failure or delay would have nevertheless been experienced by the affected Party had the Force Majeure Event not occurred; provided, further, that, in the case of a Force Majeure Event which damages the Complex, in no event shall the obligations of the affected Party under this Agreement to meet performance deadlines be extended beyond the end of the Restoration Period.

4. In the case of a PPFME covered by Section 16, the Company shall unless this Agreement has been terminated by the Power Purchaser pursuant to Section 15.8(a) or Section 15.9(b), be entitled to receive Supplemental Tariffs in accordance with the procedures set forth in Schedule 1 to recover over the remainder of the Term (unless a shorter period for recovery of such costs is agreed by the Parties) the costs incurred in effecting the Restoration as provided in Section 15.8(d).

5. Notwithstanding anything herein to the contrary, in the event of (i) the occurrence of a PPFME that has a material adverse effect on the Company's ability to operate the Complex and such PPFME continues for a period exceeding one hundred and eighty (180) Days (not including the effects thereof), (ii) a series of such related PPFMEs that continue in the aggregate for a period that exceeds one hundred and eighty (180) Days (not including the effects thereof) during any Year, or (iii) a CLFME following which (x) the Parties agree or the expert determines that a Restoration is not feasible or the Power Purchaser decides that the cost of Restoration is not acceptable and (y) the Complex does not operate for one hundred and eighty (180) Days following such determination or decision, and during such period the Change in Law is not rescinded or modified in a way to permit or avoid the Restoration, the Company or the Power Purchaser with the approval of the AAA shall have the option to terminate this Agreement immediately by delivering written notice of such termination to the other Party, and, following such termination, the AAA shall be required to pay to the Company the compensation provided in Section 15.1(c) and 15.1(e)(v) of the Implementation Agreement.

6. give the other Party notice of the Force Majeure Event(s) as soon as practicable, but in any event, not later than the later of forty-eight (48) hours after the affected Party becomes aware of the occurrence of the Force Majeure Event(s) or twenty-four (24) hours after the resumption of any means of providing notice between the Company and Party B;

7. For the purposes of this Agreement the expression Force Majeure shall mean any cause affecting the performance by a party of its obligations arising from acts, events, omissions, happenings or non-happenings beyond its reasonable control including (but without limiting the generality thereof) governmental regulations, fire, flood, act of war or terrorism, military operations, insurrection or civil disorder, national or local emergency, disease or epidemic or any disaster or an industrial dispute affecting a third party for which a substitute third party is not reasonably available.

8. In no event shall either party be liable to the other for indirect, compensation or profits as a result of any such failure, delay or error.

9. As used herein, "force majeure" shall mean and include any events which the Parties could not reasonably have foreseen or controlled on the date hereof by reason of the unavoidable, unforeseeable and uncontrollable nature of such events, including, but not limited to, any decree, ruling, decision or instruction, judgment or order issued by any authority, whether enacted or otherwise promulgated, riots, insurrections or civil or foreign wars, as well as any other circumstances beyond the control of the Parties or the affected Party.

Notwithstanding any other provision in this Agreement, neither Party shall be liable for any damages or penalty for any delay in the performance of, or failure to perform (except Client's payment obligations under this Agreement), any obligation under this Agreement or for failure to give the other Party prior notice thereof when such delay or failure is due to the elements, acts of God, acts of the government, terrorism, strikes or lockouts, civil unrest, riots, third-party shortages of materials or supplies, telephone carrier outages and other interruptions of carrier services, delays in transportation, delays in delivery by suppliers or other causes beyond a Party's reasonable control (such an event, a "Force Majeure Event").
