1. Each Party agrees that it shall comply fully with all applicable anti-corruption and anti-bribery laws, including, but not limited to, the United States Foreign Corrupt Practices Act. Without limiting the generality of the foregoing obligation, each Party agrees that it shall not make, authorize, offer, or promise to make, or give any money or any other thing of value, directly or indirectly, to any government official or employee, political party, or candidate for political office for the purpose of securing any improper or unfair advantage or obtaining or retaining business in connection with the activities contemplated hereunder.

        2. The Supplier must immediately notify the Customer in writing if a foreign public official becomes an officer or employee of the Supplier or acquires a direct or indirect interest in the Supplier, and the Supplier warrants that it has no foreign public officials as direct or indirect owners, officers or employees at the date of execution by the parties of the Service Contract.

        3. Party A shall not, and shall ensure that employees of Party A do not, either directly or indirectly, pay, offer, promise to pay, or give anything of value (including any amounts paid or credited by Party B to Party A) to any person, including an employee or official of a government, government controlled enterprise or company, or political party, with the reasonable knowledge that it will be used for the purpose of obtaining any improper benefit or to improperly influence any act or decision by such person or party for the purpose of obtaining, retaining, or directing business.

        4. The Law Firm represents warrants and covenants that: The Law Firm will comply with all applicable anti-corruption, antitrust, anti-money laundering or other criminal laws, rules or regulations with respect to the activities contemplated by this Agreement; and that The Law Firm and all of its partners, associates, directors, officers, and employees who will perform services under this retainer agreement are familiar with the rules, restrictions and principles referenced in paragraph c. above and agree to take appropriate steps to ensure compliance therewith by any such persons with respect to the activities contemplated by this Agreement.

        5. Customer shall comply at all times with the essence of AAA Code of Conduct, a copy of which is available on request, and with all applicable laws, statutes and regulations, in particular those related to anti‐bribery and anticorruption including the UK Bribery Act 2010 and the US Foreign Corrupt Practices Act as amended from time to time.

        6. AAA acts in accordance with the UK Bribery Act 2010, the Modern Slavery Act 2015 and other applicable anti-bribery, corruption, anti-slavery and human trafficking laws in the jurisdictions in which it operates (the Acts).

        8. Local practice or custom in a foreign country does not excuse compliance with international anti-corruption and trade laws.

        9. Any failure to comply, in whole or in part, with the said Supplier Code of Conduct and/or ABC-Laws, is to be considered a breach of this Agreement which will entitle AAA to terminate the Agreement in accordance with section 18.

        10. The Parties shall abide by any applicable international, national, federal, state, municipal and local laws, orders, statutes, directives, decrees, treaties and regulations relating to anti-bribery and corruption legislation, including for the avoidance of doubt, the US Foreign Corrupt Practices Act, the UK Bribery Act 2010, the UN Convention Against Corruption, Inter-American Convention Against Corruption, Group of States Against Corruption (GRECO) and any applicable country legislation implementing the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions and any other applicable legislation enacted to enforce or implement any international convention prohibiting bribery and/or corruption.
