1. BBB and AAA has agreed to enter into this Agreement in order to provide certain assurances to the Secured Parties (as hereinafter defined) in connection with the IA Documents and it is a condition precedent to the transactions contemplated under the Financing Documents that BBB and AAA execute and deliver this Agreement.

        2. The security agent, on behalf of itself and the secured parties and acting as the agent, acknowledges and agrees that no amendment, supplement or other modification to the financing documents (as the same are in effect on the date hereof) or the security assignment shall increase the obligations or liabilities of BBB or AAA under the IA documents or under this agreement except with BBB’s or AAA’s prior written consent.

Each of BBB and AAA acknowledges and agrees that the assignment of each of the IA Documents by the Company to the Security Agent pursuant to the Security Assignment shall not give rise to any duties or obligations whatsoever on the part of any of the Secured Parties or the Security Agent owing to BBB and/or PBCB, except as provided in Section 9.2(b) and Section 13.5(d) to (f) of the Implementation Agreement.

The Company hereby represents and warrants to BBB, AAA and the Security Agent that the Company has, as required under Section 12 of the Implementation Agreement, delivered to BBB, the delivery of which is hereby acknowledged by BBB and AAA a schedule or a copy of the Facility Agreement reflecting the proposed material terms of all “Financing Documents” (as defined in the Implementation Agreement), including a principal repayment schedule and identified the equity commitments.
