1. The Manufacturer shall not subcontract nor purport to subcontract its rights or obligations under this Deed in whole or in part to any other entity (including any subsidiary or associated company) without the prior written consent of AAA expressly approving the identity of such subcontractor, the purpose of such subcontract and the scope of the work to be undertaken by such subcontractor. No failure on the part of the Manufacturer to secure such prior approval shall however relieve it of any of its responsibilities under this Deed in respect of the activities of such subcontractor.

        2. The Sub-Consultant shall not, without the prior written consent of Party A, sub-contract the performance of any of the Sub-Consultancy Services. Any sub-contract made by the Sub-Consultant with the consent of Party A shall not subsequently be modified without the prior written consent of Party A. No consent by Party A to any sub-contract and no sub-contracting by the Sub-Consultant shall in any way relieve the Sub-Consultant from any liability or obligation under or in connection with this Agreement.

        3. Party A may subcontract and/or have Party A affiliates perform Party A’s obligations as set forth herein. Such subcontractors shall be subject to the terms and conditions herein, including but not limited to, Section 9.2 (“HIPAA/HITECH Compliance”). Any reference to a Party A system or process herein may include the system and/or process of a Party A subcontractor and/or affiliate.

        4. The Sub-Consultant shall not, during the performance of the Sub-Consultancy Services (save in the proper course of its duties) or at any time after expiry or termination of this Agreement, disclose to any person or otherwise make use of any confidential information which it has obtained or may in the course of this Agreement obtain relating to AAA, the Client, the Main Agreement or otherwise.

        9. The Supplier represents and warrants that it will only use employees who, or those subcontractors whose employees, have the right to work in the relevant country.
