1. The Supplier must notify the Customer in writing of any matter connected with the performance of this framework agreement which may give rise to an actual or potential conflict of interest at any time during the performance of this framework agreement. If the Customer, acting reasonably, believes that a conflict of interest exists and that it may have an adverse effect on the Customer or Customer Affiliates, or the proper performance of the Services by the Supplier, then this will constitute a material breach of the Supplier's obligations under this framework agreement which is not capable of remedy entitling the Customer to immediately terminate this Agreement by notice in writing to the Supplier in accordance with clause 20.

2. You agree that we may perform services for your competitors or other parties whose interests may conflict with yours, as long as we do not disclose any of your confidential information and we comply with our ethical obligations. Whilst we have established procedures to identify situations where there is a conflict of interest in the course of providing our services to other clients, you acknowledge that we cannot be certain that we will identify all such conflicts which exist or may develop. Where we identify such a conflict, we will contact you for this to be mutually resolved.

3. The Law Firm represents warrants and covenants that: The Law Firm is not disqualified from representing Party A in this matter by virtue of any conflict of interests and if the Law Firm becomes aware of any potential conflict of interest during the course of its services, the Law Firm will immediately provide all necessary information to Party A.
