1. The Service Provider agrees that damages may not be an adequate remedy and that Party A shall be entitled to an injunction, restraining order, right for recovery, suit for specific performance or such other equitable relief as a court of competent jurisdiction may deem necessary or appropriate to restrain the Service Provider from committing any violation or enforce the performance of the covenants, representations, and obligations contained in this Agreement.

2. Accordingly, the parties hereto agree that equitable relief may be sought in the event of any breach or threatened breach of this Engagement Letter, including injunctive relief against any breach thereof and specific performance of any provision thereof, in addition to any remedy to which they may be entitled.

3. Any and all remedies herein expressly conferred upon a party will be deemed cumulative with and not exclusive of any other remedy conferred hereby, or by law or equity upon such party, and the exercise by a party of any one remedy will not preclude the exercise of any other remedy and nothing in this Agreement shall be deemed a waiver by any party of any right to specific performance or injunctive relief.

4. If Seller defaults hereunder, Purchaser shall have such remedies as Purchaser shall be entitled to at law or in equity, including, but not limited to, specific performance.
译文：卖方违反本协议的，买方享有法定的补救权和衡平法上的补救权，包括但不限于要求卖方履行特定义务的权利。
5. Each Limited Partner hereby agrees that the remedy at law for damages in the event of its default is inadequate since funding of Partnership investments requires timely availability of required Capital Commitments, and each hereby consents to institution of an action for specific performance of its obligation.
译文：各有限合伙人特此同意，在发生违约的情况下法定的损害赔偿是不够的，因为合伙企业投资的融资需要及时认缴相应的出资，并特此同意提起诉讼来请求履行特定义务。
6. Nothing contained herein shall be deemed or interpreted to excuse the willful default and material breach of this Contract by the Seller, and in the event of the Seller's willful default, Purchaser shall be entitled to any and all remedies at law or in equity including specific performance.

7. Accordingly, a Party may seek to enforce the performance of this Agreement by injunction or specific performance upon application to a court of competent jurisdiction.
译文：因此，任何一方有权通过向有管辖权的法院提出禁令申请或者要求履行特定义务，以实现履行本协议的目的。
8. If a party fails to perform its obligations under a contract, or rendered non-conforming performance, it shall bear the liabilities for breach of contract by specific performance, cure of non-conforming performance or payment of damages, etc.
译文：一方不履行合同义务或履行合同义务不符合约定的，应当承担继续履行特定义务、采取补救措施或承担赔偿损失等违约责任。
9. Each Party agrees, therefore, that in the event it violates or fails and refuses to perform any covenant or agreement made by it herein, the other Party, so long as such other Party is not in breach hereof, shall, in addition to any remedies available at law, be entitled to seek specific performance of such covenant or agreement or seek any other equitable remedy.
译文：因此，各方同意，如一方违反、未履行或拒不履行在本协议中作出的约定和达成的协议且另一方未发生违约行为的，非违约方除有权诉诸一切法律救济措施外，还有权要求违约方继续履行约定或协议，或寻求其他衡平补救措施。
10. Tenant's exclusive remedies shall be an action for damages, specific performance or an injunction.
