1. Buyer warrants, represents, covenants and agrees that it is purchasing the Product for its internal use only and that it will not resell, convey or otherwise transfer all or any portion of such Product to any party not a Party to this Agreement without Seller’s prior written consent (which consent may be withheld by Seller in Seller’s sole discretion). In the event that Buyer breaches this Section, then the Seller may immediately terminate this Agreement and collect the Volume Shortfall Surcharge for the entire Minimum Volume for each calendar month during the remaining Period of the Agreement.

3. The Sub-Consultant shall not without the written consent of Party A assign the benefits from the Agreement, other than by a charge in favour of the Sub-Consultant's bankers of any monies due or to become due under the Agreement. Neither Party A nor the Sub-Consultant shall assign obligations under the Agreement without the written consent of the other Party.

4. Neither the execution of this Agreement nor the furnishing of any Confidential Information hereunder shall be construed as granting the Receiving Party, either expressly, by implication, or otherwise, any license under any invention or patent now or hereafter owned by or controlled by the Disclosing Party. None of the information that may be submitted or exchanged by the parties shall constitute any representation, warranty, assurance, guarantee, or inducement by a party to the other with respect to the infringement of patents, copyrights, trademarks, trade secrets, or any other rights of third persons.

5. Neither this Agreement nor any of the rights, interests, or obligations hereunder may be assigned by either party (whether by operation of Law or otherwise) without the prior written consent of the other party. Notwithstanding the foregoing, no consent shall be required in the event of a change of control of a party.

6. This Agreement is personal to the Licensee and the Licensee may not assign or in any way transfer the burden or the benefit of the licence hereby granted in whole or in part without the prior written agreement of the Licensor.

7. The Licensor may assign all or any of the Licensor's rights and transfer all or any of the Licensor's obligations under this Agreement to any person without any requirement to obtain the consent of the Licensee. Following any permitted assignment and/or transfer under this paragraph 30(c), any reference in this Agreement to the Licensor shall, where the context allows, mean the assignee and/or transferee.

8. Service Provider shall have sole ownership of all right, title and interest in any deliverables produced and intellectual property developed as a result of this Agreement. Client may use the deliverables produced and intellectual property developed as a result of this Agreement for its own business but is not allowed to sell, surrender, convey, disclose or otherwise make them available to others without prior consent by Service Provider.

This Agreement is personal to Licensee, and Licensee shall not sublicense or franchise any of its rights hereunder, and neither this Agreement nor any of the rights of Licensee hereunder shall be sold, transferred or assigned by Licensee without Licensor's prior written approval and no rights hereunder shall devolve by operation of law or otherwise upon any assignee, receiver, liquidator, trustee or other party.

Notwithstanding the above, unless otherwise agreed by the Company and the Founders (as defined in the Share Subscription Agreement) in writing, the Preferred Shareholders shall not transfer the Shares of the Company to any competitor of the Group Companies as set forth in the list attached hereto as Exhibit A.
