1. In supplying the Services, the Supplier shall ensure that the Services and Deliverables will conform with all requirements, responsibilities, service level expectations, scope of services, process flows, key performance indicators and other descriptions and specifications set out in Schedule 2and, subject to clause 4, the Service Contract, and that the Deliverables shall be fit for any purpose expressly or impliedly made known to the Supplier by the Customer Party.

The Supplier acknowledges the value to the Customer and Customer Affiliates of having consistency with respect to the Supplier Personnel working for the Customer and Customer Affiliates under this framework agreement and each Service Contract.

4. Party A shall provide all standard equipment, and materials as needed, to perform all related work described hereunder and to maintain a neat, clean, orderly and safe working environment.

Licensee agrees that: (a) the Licensed Publication shall be of the standard customary to high- quality non-fiction entertainment publications and of such style, appearance, and shall adhere to the quality standards dictated by Licensor; (b) the Licensed Publication shall be manufactured, produced, distributed, sold, advertised and serviced in accordance with all applicable laws and regulations; and (c) the policy of sale, distribution, and/or exploitation by Licensee shall be of the equivalent standard customary to high-quality entertainment collectible products in the collectible and toys industry.
