PARTY A will notify the Customer of the date upon which the Equipment and Software will be ready for acceptance testing and will test the Equipment and Software for conformity with the technical specifications contained in the Contract. The acceptance tests will be carried out in accordance with the test procedures contained in the offer or subsequently provided by Party A.

3. Within five (5) days after the satisfactory completion of the acceptance tests, an acceptance certificate will be issued by Party A and signed by the Customer. Minor defects or shortcomings not affecting the operational use of the Equipment or Software will not give rise to rejection, provided that Party A shall undertake to remedy such defects or shortcomings as soon as practicable.

Party A may issue the acceptance certificate alone if (i) the Customer fails to attend the acceptance tests and Party A alone conducts successful tests, (ii) the Customer does not sign an acceptance certificate within five (5) days following successful acceptance tests, (iii) the Customer puts the Equipment or Software into commercial use prior to successful acceptance tests or (iv) if Equipment or Software has been installed but, due to reasons beyond the control of Party A, it has not been possible for a period of two (2) months to proceed with the acceptance tests.

7. Buyer must disposition rejected Product to Seller in accordance with Seller’s written instructions. Seller will have a reasonable opportunity to repair or replace rejected Product, at its option.

8. Following initial delivery, the party initiating shipment will bear the risk of loss or damage to Products in transit. If Seller reasonably determines that rejection was improper, Buyer will be responsible for all expenses caused by the improper rejection.
