1. The Service Provider shall not at any time, whether during or after the Term, file any application in the Territory or outside the Territory for the registration of or use of, or oppose any application by the either for the registration of, or otherwise challenge Party B’s or any of its Affiliates’ fights in the Intellectual Property, or any trade name, trademark, or logo that is confusingly similar to any of the trade names, trade-marks and logos of Party B or its Affiliates.

2. The Licensee shall not enter into any new agreements during the Term in respect of the exploitation of any unofficial products related to the Licensed Property in any format and/or in respect of any other brand which directly competes with the Licensed Property without the Licensor's express prior written approval.

3. During the term of this Agreement, DISTRIBUTOR shall not, direct or indirect, manufacture, represent, distribute, sell or service any product in the Territory which is competing with the Products and their accessories, without the prior written consent of AAA’S.

4. During the term of this Agreement, Distributor shall not manufacture, use, market or sell any other equipment within the Distributor Territory, which competes with, the Product on the basis of features, performance, clinical application. Distributor annually or when requested by Party A, shall disclose to Party A, in writing, all of the products and lines that Distributor then represents.

5. Distributor shall not actively promote, market or sell Products directly or indirectly to, nor solicit orders directly or indirectly from, persons or entities located outside the Distributor Territory or to persons or entities within the Distributor Territory whom Distributor knows or has reason to know intend to use or resell the Products outside the Distributor Territory.

6. It is understood that AAA will not be obligated to work directly with any third party technical or customer service support provider that is competitive with AAA, or its agents or facilities in such termination plan.

7. Except as otherwise authorised in writing by AAA, during the continuance of this Agreement and for a period of 1 (one) year from its expiration or earlier termination, the Distributor shall not, directly or indirectly, manufacture, import or market products in competition with the Products, it being understood that the Distributor shall not participate, also as shareholder, directly or indirectly, to any company even potentially in competition with AAA.

8. AAA shall not acquire, dispose of, transfer, enter into any derivative or similar transaction, or otherwise enter into a contract in respect of the shares and other securities of the Group Companies or any other company or person (including, without limitation, shares and other securities of a publicly listed company and/or of a company that competes, directly or indirectly, with the Company).

9. Each of the shareholders of the JV shall agree that (i) until the lapse of twelve (12) months following the date on which each of them ceases to be a shareholder of the JV, they shall not engage in, become financially interested in, or otherwise compete, directly or indirectly, alone or in conjunction with others, in any capacity whatsoever, in any activity which is competitive with the JV's business in the Field (provided such limitation shall not apply following termination of the Exclusive Manufacturing and Marketing Rights Agreement);
