None of such inventory is slow-moving, obsolete, damaged, defective or of below-standard quality, and all of which has been or will be written off or written down to net realizable value on the Balance Sheet, the Interim Balance Sheet or the accounting records of the Acquired Companies as of the Closing Date in accordance with the past custom and practice of the Acquired Companies.
