1. When a Customer or any of its affiliates requests services from the Supplier, and the Supplier is able to provide such services, the relevant parties will enter into a separate service contract in accordance with this framework agreement. Each service contract will incorporate the terms and conditions set out in this framework agreement.

3. This framework agreement governs the overall relationship of the parties in relation to the Services provided by the Supplier to the Customer and Customer Affiliates, and sets out: in this clause 2, the procedure for the Customer and Customer Affiliates to request the provision of Services from the Supplier under separate Service Contracts; and the terms on which the Supplier has agreed to provide Services to the Customer and Customer Affiliates, and such terms are deemed incorporated into each Service Contract.

4. 5. During the term of this agreement and any Service Contract, the Supplier shall (at its own expense) maintain in force, with a reputable insurance company, sufficient insurance to cover its potential liability to the Customer for the Services pursuant to, or in connection with, this framework agreement and all Service Contracts, in accordance with best industry practice and applicable law, including (without limitation) cover for motor vehicles, professional indemnity and public liability.

6. In the event of discrepancies between this Framework Agreement, its annexes, and individual contracts the Framework Agreement shall take precedence over the annexes and these in turn shall take precedence over the individual contract.

7. This Agreement shall serve as a framework setting out the general terms and conditions under which the Consultant shall perform certain consultancy services proposed by Client and agreed to by the Consultant from time to time.

8. The Supplier acknowledges that it is not, nor will it be, the exclusive supplier to the Customer or Customer Affiliates of the kinds of services contemplated by this framework agreement and that the Customer or Customer Affiliates may, at any time and from time to time, perform, provide or engage a third party to perform or provide, the whole or any part of the Available Services, or any similar services, without the consent of or notice to the Supplier.

10. Nothing in this framework agreement is intended to, or shall be deemed to, establish any partnership or joint venture between any of the parties, constitute any party the agent of another party, or authorize any party to make or enter into any commitments for or on behalf of any other party.
