1. The Distributor shall describe itself in all dealings pursuant to this Agreement and in all associated materials as AAA’s distributor.  The Distributor acknowledges and agrees that it is not authorized to act in the name of any AAA Entity or to hold itself out as a AAA Entity or employee.  The Distributor is an independent contractor and shall not represent itself as an agent of any AAA Entity, pledge a AAA Entity’s credit, give any warranty on a AAA Entity’s behalf, alter any contract terms, make any representation on a AAA Entity’s behalf, or commit any AAA Entity to any contracts.  The Distributor acknowledges and agrees that it has no authority to conclude any agreement on behalf of any AAA Entity.

2. The Distributor shall not engage any sub-distributors or agents in connection with the services or this Agreement without the prior written consent of AAA.  If AAA consents to the appointment of a sub-distributor or agent by the Distributor, the Distributor shall be responsible for the acts and omissions of such parties as if they were the acts and omission of the Distributor and shall indemnify the AAA Entities for such acts and omissions in accordance with this Agreement.

3. The Distributor agrees that the Commission shall be paid only on the amount received by the AAA Entity from the Purchaser for the Products sold and not on the invoice value or any other valuation.  The Distributor shall not be paid any Commission on the sale of any Products where the AAA Entity has not received full payment from the Purchaser.

4. Notwithstanding anything to the contrary set forth in this Agreement, if any dispute arises as to the amount of commission payable by AAA to the Distributor, the same shall be referred to AAA’s auditors for settlement and their certificate shall be final and binding on both parties.

5. All information revealed to the Distributor by any AAA Entity under this Agreement or related thereto, including but not limited to, engineering information, manufacturing information, technology, know-how and price books or lists, will at all times remain such AAA Entity’s property.  The Distributor shall at all times hold such information confidential in accordance with the provisions of Section 8 of this Agreement.  Upon any termination of this Agreement, or as AAA directs from time to time, the Distributor shall promptly return all such information to AAA, together with any copies or reproductions thereof.  The Distributor’s obligations under this Section 5 shall survive any termination of this Agreement.

6. The Distributor shall use its best efforts to avoid confusion between the AAA Entities’ Products and trademarks and any other products promoted or sold by the Distributor or any trademarks or trade names employed by the Distributor for such other products.

7. For the purposes of this provision, an “official or employee” includes (i) any official or employee of any directly or indirectly governmental-owned or –controlled entity, including state owned enterprises; (ii) any officer or employee of a public international organizational; and (iii) any person acting in an official or unofficial capacity on behalf of any such official or employee.

8. To the extent allowed by law, the Distributor agrees to indemnify, defend and hold the AAA Entities and their officers, directors and employees harmless from and against any and all claims, losses, costs, expenses (including reasonable attorney’s fees), damages or liability of any kind whatsoever resulting from the acts or omissions of the Distributor or its  officers, directors, employees or agents, including, without limitation: (i) negligence, recklessness or intentional misconduct in the performance of its obligations hereunder, (ii) representations or statements not specifically authorized by AAA, (iii) breach of any provision of this Agreement, (iv) violation of any applicable law, order, or regulation in performance of any activities pursuant to this Agreement, (v) any claims for damages asserted by the Distributor’s agents or employees.

9. Any Party may disclose Confidential Information only to such of its employees and advisors or directors who have a demonstrable need to know such information and who are informed and aware of its obligations of confidentiality and shall at all times procure compliance by those employees, advisors and directors with those obligations.

10. Upon the expiration or termination of this Agreement in accordance with the provisions of Section 9 above, neither Party shall have any claims whatsoever towards the other Party as a result of such expiration or termination (except as expressly provided for herein) and each Party hereby waives any law or custom to the contrary.
