在法律翻译中，subject to表示享有某种权利，应当履行某种义务，应当遵守/符合某项规定，列举某种例外情形、限制条件等等。

        1、表示享有某种权利，例如：
        subject to an extension for Force Majeure Event(s)
        发生不可抗力事件时可以相应地延长期限
        注 ：表示发生不可抗力事件的当事人享有的权利
        the remaining aggregate number of the Co-Sale Shares subject to the co-sale right
        享有共售权的剩余共售股总数

        2、表示应当履行某种义务或者遵守/符合某项规定，例如：
        Any purchase over an amount of USD XXX shall be subject to tax.
        购买金额超过XXX美元的，应当履行纳税义务。
        subject to the previous approval of the Government
        依照（某项规定）
        subject to the following subsection
        在不违反下一款规定的前提下/依照下一款的规定
        not be subject to supplementary criteria
        不再适用补充标准的规定
        Subject to any agreement entered into by the Corporation
        在不违反公司签署的任何协议的前提下
        is subject to the satisfaction, at or prior to the Closing, of each of the following conditions
        在交割日期当日或之前必须满足以下各项条件
        The reasonable costs and expense thereof shall be subject to the indemnification obligations of the indemnifying Party.
        相关费用和支出由赔偿费承担。
        Subject to giving the Company reasonable notice,
        在提前合理的时间向公司发出通知后

        3、列举某种例外情形：
        This Agreement constitutes a legal, valid and binding obligation of Party B, enforceable against it in accordance with its terms, subject to (i) bankruptcy, insolvency, reorganization, moratorium, or other similar laws now or hereafter in effect relating to creditors' rights; and (ii) general principles of equity.
        本协议构成购乙方的合法、有效、具有约束力并可依照本协议条款强制执行的义务，但有下列情形之一的除外：（i）发生破产、资不抵债、重组、延期偿付等情形，当前或者以后颁布的与债权有关的其他法律另有规定的；（ii）违背衡平法的一般原则的。

        4、列举某种限制条件：
        Holders of the Preferred Shares shall not be deemed as Selling Shareholders and their proposed transfer of shares of the Company shall not be subject to any transfer restrictions set forth under this Section7.
        优先股股东不得视为售股股东, 拟转让的公司股份不受本第7条有关任何转让限制的规定约束。
        The other Party shall be entitled to terminate this Agreement subject to the delivery of a three (3) months previous notice…
        另一方有权在提前三（3）个月发出通知后终止本协议
        注：另一方虽然有权终止本协议，但必须提前发出通知。
