1. Insofar as any ambiguity or doubt may arise as to the meaning of any of the provisions or description in this Sub-Contract, the terms and provisions of the Main Contract shall be considered in order to resolve such ambiguity, and whenever possible this Sub-Contract shall be construed consistently with the requirements of the Main Contract and all its contract documents and provisions insofar as they may concern the Sub-Contract Works.

        2. In the absence of express provision to the contrary, the Sub-Contractor will execute, complete and maintain the Sub-Contract Works in conformity with the Sub-Contract and with all reasonable directions and requirements of the Contractor and will also do all things necessary (including providing all necessary support to the Contractor) so that no breach shall occur of any of the Contractor’s obligations to the Employer under the Main Contract arising out of the Sub-Contract Works.

        3. To the extent where the intellectual property rights of any of the Sub-Contract Works (including related operating manuals and documentation) to be provided is vested in a third party, the Sub-Contractor agrees there shall be no additional fees, costs or conditions in respect of the Contractor’s right (or the Employer’s right as the case may be) to use such Sub-Contract Works as provided for in this Sub-Contract.

        4. Within 7 days from the receipt of the Letter of Award, the Sub-Contractor shall at his own expense provide to the Contractor a Security Deposit for the amount specified in Appendix A herein for the due performance and observance by the Sub-Contractor of all the stipulations, conditions and agreements herein contained.

        5. The Security Deposit shall take the form of a performance bond and be in such terms as the Contractor shall approve, and shall be duly executed by an insurance company or bank approved in writing by the Contractor acknowledging that the insurance company or bank is liable to the Contractor for the sum stated in Appendix A herein.

        6. The plant, tools, equipment or other property belonging to or provided by the Sub- Contractor, his servants or agents shall be at the sole risk of the Sub-Contractor, and any loss or damage to the same or caused by the same shall be the sole liability of the Sub-Contractor who shall indemnify the Contractor against any loss, expense, cost, damages, liability or claim in respect thereof.

        7. The Contractor may before or after issuing an instruction for variation, accept in writing the Sub-Contractor's quotation and the provisions hereunder shall not apply to the valuation of that variation nor shall the Contractor be entitled to any other compensation, damages or other amount whatsoever other than a valuation made in accordance with the accepted quotation.

        8. The Sub-Contractor shall ensure that any person employed by the Sub-Contractor for the execution of the Sub-Contract Works shall meet and satisfy all security clearance requirements that may be imposed by the Employer and the Contractor is entitled to reject any person who fails to meet and satisfy such security clearance requirements.

        9. The Contractor shall be at liberty to object to and require the Sub-Contractor to remove forthwith from the Sub-Contract Works any person employed by the Sub-Contractor for the execution of the Sub-Contract Works who, in the opinion of the Contractor misconducts himself, or is incompetent or negligent in the proper performance of his duties, or whose employment is otherwise considered by the Contractor to be undesirable and such person shall not be again employed upon the Sub-Contract Works without the written permission of the Contractor.

        10. If any illegal immigrant or illegal foreign worker is found to be so employed, the Contractor shall be entitled to withhold any payment due to the Sub-Contractor for a period of 2 months and the Contractor shall not be liable for any loss or damage suffered by the Sub-Contractor as a result of any payment being so withheld.
