1. The mutual desire of the Parties, and the main purpose of this Agreement, is to settle once and for all time the aforementioned case, and all other causes of action that may now exist among the Parties, whether or not the full extent of past, present, and future damages related to the aforementioned case and any other now-existing causes of action is presently known or unknown.

        4. FURTHER, in exchange for and in consideration of AAA’s dismissal of the Action with prejudice and the Parties’ release of all claims against one another, BBB agrees to pay, and AAA agrees to accept  $7,500,000 principal amount plus ten percent (10%) annual interest from the Effective Date (the “Settlement Amount”) as follows:

        10. Conditioned upon the receipt of the condition precedent of a completely perfected security interests and collateral as set forth in Paragraphs 2a and 2b above, and except for the obligations contained herein, in consideration of the promises and covenants contained in this Agreement, the parties, on behalf of themselves and their respective past, present and future agents, servants, independent contractors, representatives, personal representatives, attorneys-in-fact, attorneys, affiliates, partners, spouses, domestic partners, dependents, conservators, executors, administrators, other personal representatives, heirs, descendants, ancestors, other testate beneficiaries, trustees, co-trustees, trust beneficiaries, predecessors, successors, assigns, corporate entities, shareholders, partners, limited partners, limited liability company members, officers and directors of said entities, parent organizations, subsidiaries, affiliates, insurers, and sureties, other privies or successors in interest not specifically mentioned herein whether now known, or unknown, and anyone claiming by, through or under any of them (collectively, the “Released Parties”) of and from any and all causes of actions, claims, demands, debts, obligations, and liabilities that accrued at any time prior to the Effective Date of this Agreement, whether known or unknown, anticipated or unanticipated, direct or indirect, fixed or contingent, arising from any matter, cause or thing, whatsoever occurred, done or omitted, related to the Action any other facts that gave rise to BBB’s and CCC’s claims in the Action (collectively, the “Released Claims”).
