Vendor shall conduct and complete in accordance with the requirements specified in this Agreement, a detailed study and analysis of the requirements of Customer and Customer Entities in relation to the System required to be delivered under this Agreement (“Detailed Requirements Study”), in sufficient detail to equip Vendor with sufficient information to perform its obligations under this Agreement, including its obligations to deliver the System; and upon the completion of the Detailed Requirements Study, prepare the draft Specifications for the System for Customer’s approval, in accordance with the Outline Specifications and within the time period specified under the Project Plan.

        3. Vendor agrees and acknowledges that at all times: Customer shall be entitled to approve the content, design, visual layout, graphical user interface of and all other aspects of the presentation of any Content-Based Deliverable; Customer shall have the right to be consulted in relation to any and all text, words, artwork, graphics, layout, presentation, aesthetics, photographs, animation, music and sound effects comprised in the content proposed to be included in the Content-Based Deliverables and to direct, request or instruct Vendor in all respects of the creation of the Content-Based Deliverables.

        7. A Certificate of Completion for a relevant Milestone shall only be issued upon the fulfilment of all the following requirements: delivery of all requirements for the Milestone; completion of all project activities for the Milestone; hand-over of all relevant Documentation for the Milestone; and successful completion of all tests (including Acceptance Tests where applicable) for that Milestone, all in accordance with the Specifications, the Project Plan and the terms and conditions of this Agreement.

Vendor shall permit Customer and such other entity or person designated by Customer, upon reasonable notice, to examine the [programming, scripting, planning, data migration, design techniques, workmanship, beta testing] of the System and any other activities carried out by Vendor pertaining to the System and the Services, for the purposes of satisfying Customer as to the present status and quality of the System and applicable Services.

In connection with the Acceptance Tests, Customer shall be entitled to direct and request Vendor to prepare preliminary documents, procedures, data and criteria for its approval and Vendor shall comply with such direction or request.

If the System as a whole or any part thereof shall fail to perform in accordance with the Specifications or in a manner satisfactory to Customer during the Acceptance Tests, then Vendor shall perform remedial works on the System or the relevant parts thereof following which repeat tests shall be carried out on the same terms and conditions within a reasonable time thereafter, [but in any event no later than [seven days] after the original test].
