1. The Supplier warrants that it will not obtain any rights to or in Customer Data, and will not use Customer Data for any purpose other than directly in relation to the supply of the Services in accordance with this framework agreement, and at all times Customer Data will be protected against unauthorized or unlawful access or use or accidental loss or destruction of, or damage to, any Customer Data.

Owner warrants and represents that Compositions and each and every part thereof, is original and does not infringe upon any other musical or lyric material and that Owner has the right to grant Label all the Rights set forth herein free and clear of all claims, encumbrances, and obligations whatsoever.

        5. In the performance of duties under this Agreement, each Party represents and warrants that it complies with, and will continue to comply with, all applicable laws and regulations, including, but not limited to, U.S. Anti-Boycott Laws, embargoes, enumerated trade sanctions, and U.S. export control restrictions.

        6. Buyer, on behalf of its officers, directors, employees, agents and other representatives, hereby represents and warrants that it is complying with, and will continue to comply with, the provisions of the U.S. Foreign Corrupt Practices Act of 1977, as amended, the U.K. Bribery Act (if applicable), and other applicable anti-bribery laws and regulations (“Applicable Anti-Bribery Laws”). Buyer, on behalf of its officers, directors, employees, agents and other representatives, further represents that it has not violated and will not violate any provision of the Applicable Anti-Bribery Laws in connection with the performance of this Agreement or any other transaction involving the business of the Seller.

        7. Seller will comply with the pre-registration and registration obligations of the European Regulation 1907/2006 on Registration, Evaluation and Authorization of Chemicals (the “Regulation”), exclusively to allow the Product to be sold under this Agreement within the European Economic Area. Buyer will ensure compliance with the Regulation for any subsequent use or action, including but not limited to re-importing and/or modifying the chemical identity of the Product.

        8. The Service Provider represents and warrants that it has the necessary infrastructure, skill and qualified manpower to provide the Services.

        9. Each party represents and warrants to the other party that: (a) it is duly incorporated or organized and validly existing under the laws of its registered address; (b) it has the full power, authority and necessary corporate authorizations to enter into, execute and deliver this Agreement and to perform the obligations contemplated herein; (c) this Agreement constitutes legal, valid and binding obligations, enforceable against it in accordance with its terms; and (d) it is, and shall for the Term of this Agreement remain, in compliance with all Applicable Laws and possesses all requisite governmental approvals, licenses, permits for rendering the Services in accordance with this Agreement.

        10. The Service Provider additionally represents and warrants to Party B that: (a) it shall render the Services, in a timely and professional manner, in full compliance at all times with all Applicable Laws and regulations and the provisions of this Agreement; (b) the Services rendered shall be in accordance with the applicable best practices and the relevant industry standards; (c) all documents furnished of to be furnished by the Service Provider pursuant to this Agreement, or in connection herewith or with the Services contemplated hereby do not contain, and will not contain any untrue or misleading statement nor omits, nor will omit any fact necessary, so as to make the statements misleading; (d) it shall not do or permit any act or thing that may reasonably be expected to cause damage, impair or otherwise prejudice the reputation status or image of Party B or cause Party B or its customers or employees to be in violation of any Applicable Law; (e) it shall not make any representations, offer any Product warranties, or make any other commitments or provide assurances to Customers or any other third parties in excess of, or in derogation of those explicitly provided or authorized by Party B under this Agreement; (f) it shall not tamper with the Products, any labels and shall not remove, deface or obscure any identifying mark or packaging on the Products; (g) it shall provide Party B with such assistance and information Party B may request from time to time.
