1. In consideration of the Supplier providing the Services, the Customer must pay the Supplier the Charges in accordance with this clause 18. If agreed in the Service Contract, the Customer Party shall reimburse to the Supplier, in addition to the Charges, the cost of hotel, subsistence, travelling and any other ancillary expenses reasonably and properly incurred by the Supplier's employees, subcontractors and agents in the provision of the Services.

         2. If any third party fees or expenses are charged to the Customer or Customer party, they shall be charged to the Customer or Customer Party by the Supplier at cost. Unless otherwise agreed between the parties, all Charges are exclusive of VAT or Similar Taxes.

         3. Subject to and in consideration for the Service Provider rendering the Services in accordance with the terms and conditions of this Agreement, Party B shall pay the Service Provider the service fees (“Service Fees, ") in accordance with the Services Charges and rates for the different service levels set out in Annexure III - RATES to this Agreement (“Rates”).

         4. Unless otherwise specified in this Agreement, the Service Charges set out in Annexure III —RATES shall itemize ail costs and expenses, as well as profit of the Service Provider generated for the Service of the Products, including but not limited to all personnel costs whether direct or indirect, overheads costs, profit, supervision costs, communication costs, office costs, testing costs and all other charges, expenses arising from the performance of this Agreement.

         5. Party B is not obligated to pay for specific Service Orders under the following circumstances: If the Service Provider does not submit Service Records or other necessary documents within requested period; If the Service Provider submits such Service Records which do not bear the signature of the Customer; If the Service Provider does not input required information in its data systems such as IMEI/serial number of Products, Customer information, symptom code, repair code or state code of Party B Products, etc; If the Service Provider provides in-Warranty Services for the same Product within thirty (30) days of the date of initial repair; If, without the prior written consent of Party B, the Service Provider provides any software upgrade, packing, maintenance or configuration in batch (rework) or any other Service for identical type/model of Product; If the defective Spare Parts does not returned to Party B; If the Service Provider does not provide IMEI/serial number of the new host or mainboard upon replacement of the defective one; If the Service Provider submits the same Service data for the same Product more than once; If the data is inconsistent with actual Services rendered including, without limitation, where: The Product or repair data is incorrect or inconsistent with actual Services rendered; The Service Provider does not return the defective Spare Parts to Party B for in-Warranty Services rendered, or if the returned Parts are inconsistent with its data systems; Defective Spare Parts collected during the in-Warranty Services are inspected and confirmed by Party B as NTF or due to CID; Defect or damage attributed to abnormal maintenance by the Service Provider; Maintenance method or replaced Spare Part is not consistent with the recorded symptoms; Service for non-authorized Product or non-authorized Service Levels; Repair Services rendered for Products, which were not sold in the Territory.

         6. As service fee for the performance of all services hereunder, Party B shall receive an annual lump sum of € 520,000 (five hundred and twenty thousand euros, year 2016 basis) without V.A.T. This amount shall be revised every year in writing.

         7. In the event that Party A would ask for additional services, in excess of the agreed lump sum here above mentioned, the Parties shall agree on the compensation thereof on a case by case basis.

         8. Party A shall pay Party B at the intervals and stages, within the times, at the places and in the currencies stated in Schedule 4 against written statements from Party B of the amounts due to Party B, calculated in accordance with the payment provisions in Schedule 4 and any other provisions of this Agreement. Such payment shall be deemed to be inclusive payment for the Consultancy Services and for all costs, expenses and overheads of every kind incurred by Party B in the performance of them.

         9. As consideration for the Supplier providing the Services, the Client shall pay to the Supplier a monthly fee for each Service delivered in such month at the rates specified in Schedule A ("Service Fees").

         10. SERVICE CHARGES: In the event that the purchaser does not pay the amount due within the days specified from the due date, the seller may assess service charges of one and one-half (1.5%) percent per month on the amount due.
