1. The company has a first and paramount lien on — every share (that is not a fully paid share) for all money (whether presently payable or not) called or payable at a fixed time in respect of that share; and all shares (other than fully paid shares) registered in the name of a single person for all money presently payable by the person or the person's estate to the company. The company's lien, if any, on a share extends to all dividends payable on the share.

         4. The Company may sell in such manner as the Directors think fit any share on which the Company has a lien, but no sale shall be made unless some sum in respect of which the lien exists is presently payable nor until the expiration of fourteen (14) days after notice in writing stating and demanding payment of the sum payable and giving notice of intention to sell in default, shall have been given to the registered holder for the time being of the share or the person entitled thereto by reason of his death or bankruptcy.

In order to release to Seller the Excluded Assets and to release Seller and the Excluded Subsidiary from their guarantees of the AAA Credit Agreement (the “Guarantees”), pursuant to the terms of the PSA, BBB shall cause the Company to use the Capital Contribution to make at least the minimum payment of principal and interest due under the AAA Credit Agreement in such amount as shall be sufficient and necessary to induce the lender under the AAA Credit Agreement (the “Lender”) to fully release all liens and encumbrances on the Excluded Assets and the Guarantees;
