1. During the Term of this Agreement, Client agrees that Party B shall be the sole and exclusive agent for Client for each of the types of services described in this Agreement.

         2. The Company hereby grants to the Distributor the exclusive right to market, distribute and sell the Product in the Territory. The Distributor shall be deemed to be an independent contractor and purchase and sell in its own name and for its own account. Company shall not make direct sales in the Territory as long as this agreement remains valid. The Distributor is allowed to contract other parties in the Territory to execute this agreement upon their compliance with appropriate provisions of this agreement and written consent from the Company.

         3. Distributor shall allocate an adequate number of employees to the marketing, sales efforts and technical support and take additional measures to market the Products, including but not limited to advertisement, exhibiting information regarding the Product and providing informational details of the Products to potential customers.

         4. Not later than three working days from the implantation procedure in the Territory, the Distributor will fill and deliver to the Company the “Delivery Slip” document, a copy of which is attached as Exhibit G hereto.

         5. Company may change the Purchase Prices from time to time by notice in writing to the Distributor, however any change in the Purchase Prices of the Products shall not affect Purchase Orders by the Distributor that were accepted by Company prior to such price change was communicated.

         6. All products will be shipped to the Distributor by Party A or its agent at the address and via the means of transportation specified by Distributor in an Accepted Order; if no means of transportation is specified, Party A shall ship by an appropriate means which, in Party A’s judgment, is consistent with the requirements of the Accepted Order.

         7. Party A will deliver all Products sold to Distributor EX WORKS (point of shipment). Distributor is responsible for the cost of all import customs and duties but not shipment, insurance. Risk will pass immediately to Distributor upon delivery. Title to such Products will pass to Distributor upon delivery of the Products.

         8. Party A will make reasonable commercial effort to ship Products covered by an Accepted Order in accordance with the delivery schedule specified in such Accepted Order. Distributor agrees that failure to meet any estimated delivery date shall not constitute a breach of this Agreement or any Accepted Order.

         9. Company shall, at Distributor's request, replace any part of the Product part with defects attributable to defective material or workmanship, and supply same to the Distributor at Company’s cost, provided that each defective part of the Product, as aforesaid, has been returned by the Distributor to Company's premises prior to its replacement by Company.

         10. Party A’s Warranty shall be void for any Product which is misused, improperly stored or shipped, abused, neglected, tampered with, damaged by accident, fire or other peril or not maintained in accordance with Party A’s instructions. Party A shall have no liability or obligation under this Section for any infringement or alleged infringement that arises out of Distributor's or Distributor's customers combining or using of Products with any equipment, devices, or other goods not made, authorized or furnished by Party A or arising out of any modification of Products not done by or at the direction of Party A.
         译文：甲方的保修条款不适用于任何误用、不当储存或运输、滥用、疏忽、篡改、意外损坏、火灾或其他危险或未按照甲方的指示进行维护的产品。因经销商或经销商客户将产品与非由甲方制造、授权或提供的任何设备、装置、其他货物相结合或一起使用，非由甲方对产品进行的任何修改，或者未按甲方的指导对产品进行任何修改，导致发生任何侵权或涉嫌侵权情形的，甲方不承担本条规定的任何责任或义务。
