         1. The Company shall operate and maintain the Complex in accordance with the terms of this Agreement, the operating procedures developed in accordance with Section 2.5, the Laws of Pakistan, the Grid Code, and the Company Consents, Prudent Utility Practices, and Prudent Electrical Practices; provided, however, that the Company may contract with the O&M Contractor to operate and maintain the Complex; provided, further, that the appointment of the O&M Contractor by the Company shall not relieve the Company of any of its obligations or potential liability regarding the insuring, operation or maintenance of the Complex or any liability whatsoever resulting from a breach of any term or condition of this Agreement.

Section five of the Public Utilities Street Works Act, 1950 (which empowers a street authority in certain circumstances to disapprove a plan and section submitted under subsection (1) of section three of that Act of works proposed to be executed in a street which is a maintainable highway or is prospectively a maintainable highway on the ground that the works ought to be executed in controlled land abutting on the street, or to approve the plan and section subject to modifications excluding some of the works on the ground that they ought to be executed in such land), shall not have effect in relation to a plan and section of undertakers' works to be executed in exercise of the power to execute such works conferred by subsection (1) of section fifteen of this Act, and accordingly subsection (4) of section four of that Act shall, in relation to such a plan and section, have effect with the omission of proviso (i) thereto (which precludes the settlement under that subsection by an arbitrator of a plan and section of works if the case falls within the said section five and the only modifications or disapproval notified with respect to the plan and section as submitted under subsection (1) of section three of that Act are on the part of the street authority and on the ground that some or all of the works ought to be executed in controlled land).

         5. Neither party shall be liable for any failure to perform as required by this Agreement, to the extent such failure to perform is caused by any reason beyond the party's control, or by reason of any of the following: labor disturbances or disputes of any kind, accidents, failure of any required governmental approval, civil disorders, acts of aggression, acts of God, energy or other conservation measures, failure of utilities, mechanical breakdowns, material shortages, disease, or similar occurrences.

         7. Deductions for utility (heating and water) charges are CHF45 per room (counting the kitchen, living/dining room and bedrooms) for the purpose of calculating net rent whenever they are not shown separately in the rental contract.

         8. In case Party B delays in the payment of the rent, property management and operating expenses or any other expenses payable as agreed in this Contract and fails to pay within five working days after Party A or the property management company's sending of a notice of a call in writing, whether Party B has paid such utility expenses as water and electricity charges, etc, of the Building, Party A or the property management company shall have the right to turn off the switches of such facilities of water and electricity supplies, etc, of the Building and cease the delivery of any other property services until Party B settles all the expenses and delinquency charge unpaid, without prejudice to Party A's any other rights. Party A shall not be liable for any of the influences on Party B caused thereby. and Party B shall bear the rent, property management and operating expenses of the Building and any other expenses as agreed in this Contract during the period in which Party A takes the measures set out in this article, as well as the expenses for reconnecting the supplies of water, electricity and any other public utilities.
         译文:乙方拖欠本合同约定的租金或物业管理及运营费用或者其他应付费用且经甲方或物业管理部门发出书面催缴通知后5个工作日内仍不支付的,无论乙方是否已支付该房屋水、电等公用事业费用,在不损害甲方其他权利的前提下,甲方或物业管理机构有权关闭该房屋水、电相关设施的开关并停止向该房屋提供其他物业管理服务直至乙方付清拖欠费用及滞纳金。由此造成对乙方的影响,甲方无需承担任何责任。同时乙方应承担甲方采取本条措施期间的该房屋租金、物业管理及运营费用和本合同的任何其他费用及重新接驳水、电及其他公用设备费用。
         9. Party B shall report, pay and discharge, when due, all fees, costs, charges, fee and expenses incurred in connection with the possession, use, exploitation, maintenance and repairing of the Leased Facilities and any other tax, fees and governmental charges similar or dissimilar to the foregoing, including but not limited to real estate and personal property taxes and assessments, management fee, heating, electricity, water, waste disposal, sewage, equipment maintenance, operating materials and supplies, premises maintenance, service agreements and charges, lawn care, snow removal, restriping, repairs, repaving, cleaning and custodial, security, insurance, together with any penalties or interest thereon, imposed by government or any agency, or department thereof, including fines imposed for violation of the law in the course of exploitation of the Leased Facilities, potential recourse actions, claims for damage, etc.

         10. The General Partner (or the Management Company) will be responsible for the compensation of its employees, rent, utilities and other administrative expenses.
