1. The Parties are each independent contractors and not joint venturers, partners, agents, or representatives of the other. No Party has any right to create any obligation on the part of the other Party.

         4. The Service Provider acknowledges that appointment of the Service Provider under this Agreement is on a non-exclusive basis and Party B reserves the right to appoint other authorized service providers without any liability or obligation to the Service Provider. The Service Provider is, and shall act as, an independent contractor in all its dealings with Party B and/or with third parties including the Customers. This Agreement does not give rise to any employer-employee, principal-agent relationship or any similar or like relationship between the Parties. Nothing stated in this Agreement shall authorize or permit the Service Provider to represent, act as or plead that it is an agent of Party B and the Service Provider shall not hold out as having authority to contract or to make commitments on behalf of Party B.

         5. Client and Party A are independent entities and nothing in this Agreement shall be construed or be deemed to create a relationship of employer and employee, principal and agent, franchiser and franchisee, joint venturers, or any relationship, fiduciary or otherwise, other than that of independent parties contracting with each other solely for the purpose of carrying out the provisions of this Agreement.

         6. Participating Pharmacies are independent contractors and not subcontractors or agents of Party A, and Party A does not exercise any control over the professional judgment of any pharmacist dispensing prescriptions or otherwise providing pharmaceutical related services at a Participating Pharmacy. As a result, Party A shall have no liability to Client or any Eligible Member for a claim resulting from any act or omission of any Participating Pharmacy or its agents or employees.

         8. The relationship of Party A and Party B established by this Agreement is that of independent contractors, and nothing contained in this Agreement shall be construed to (i) give either Party the power to direct and control the day-to-day activities of the other, (ii) constitute the Parties as partners, joint ventures, co-owners or otherwise as participants in a joint or common undertaking, or (iii) allow either Party to create or assume any obligation on behalf of the other Party for any purpose whatsoever, or (iv) grant Party B any right or license other than as expressly granted hereunder.

Nothing in this Contract is or shall at any time be deemed to constitute a partnership or a joint venture or an agency relationship between Party A and the Company nor, except as may be expressly set out herein, constitute any employment relationship between the Company and any personnel of Party A or of its Affiliates

         10. It is expressly agreed that Party A and its affiliates, including its employees and Subcontractors, are performing the services under this BAA as independent contractors for Customer. Neither Party A nor its affiliates, officers, directors, employees or Subcontractors is an employee or agent of Customer.
