1. The aircraft is being sold or leased and delivered to purchaser "as is" and, except as expressly set forth in section iii of this agreement or the bill of sale, seller does not make, give, or extend any warranties, liabilities, or representations of any kind or nature, express or implied, concerning any matter contemplated by this agreement, the aircraft its merchantability or regarding patent infringement or the like, fitness for a particular purpose, design, manufacture, airworthiness, sale, lease, operation, repair, condition, ownership, or use or any services covered by this agreement. Seller shall in no event be liable to purchaser for any indirect, special. consequential and/or punitive damages ("excluded damages") arising by law, contract, civil liability, tort or otherwise under any circumstances for, or arising out of, any inadequacy or lack or loss of use of any aircraft or caused by the performance or non performance of services covered by this agreement, except that seller shall be liable for damages arising from its performance of services covered by this agreement, other than excluded damages, if such damages arise solely out of seller's gross negligence or wilful misconduct

         2. Notwithstanding the forgoing, if Seller elects to cancel the within Contract under the provisions of this paragraph, the Purchaser may elect to purchase the Premises in its AS-IS condition.

         5. The Exclusive Manufacturing and Marketing Rights shall be provided on an as-is basis without warranties by AAA with respect thereto.

Purchaser acknowledges and represents that Purchaser is fully aware of the physical condition and state of repair of the Premises and of all other property included in this sale, based on Purchaser's own inspection and investigation thereof, and that Purchaser is entering into this contract based solely upon such inspection and investigation and not upon any information, data, statements or representations, written or oral, as to the physical condition, state of repair, use, cost of operation or any other matter related to the Premises or the other property included in the sale, given or made by Seller or its representatives, and shall accept the same "as is" in their present condition and state of repair, subject to reasonable use, wear, tear and natural deterioration between the date hereof and the date of closing (except as otherwise set forth in paragraph 16(e)), without any reduction in the purchase price or claim of any kind for any change in such condition by reason thereof subsequent to the date of this contract.

Except as provided in Clause 5.6.1 above, the Licensee agrees that the Services are provided was is"; AAA makes no representation or warranty with respect to the accuracy, completeness, or currentness of the information included in the services; and AAA specifically disclaims any other warranty, express or implied or statutory, including any warranty of merchantability or fitness for a particular purpose.
