1. If an Event of Default with respect to a Party (the “Defaulting Party”) shall have occurred and be continuing, the other Party (the “Performing Party”) may do any one or more of the following: (i): withhold or suspend its performance under this Agreement without prior notice to the Defaulting Party, (ii) proceed against the Defaulting Party for damages occasioned by the Defaulting Party’s failure to perform or breach, (iii) and upon one day’s prior written notice immediately terminate any or all transactions between the Parties.

Party A may undertake such investigation and remediation if Party B fails to do so within a reasonable time frame, in which case Party B shall promptly reimburse Party A for the cost of same within thirty (30) days after demand therefore by Party A.

        4. Sections 8 and 9 state the entire liability of each of the Parties to this Agreement with respect to infringement or misappropriation of any third party’s intellectual property rights by the Licensed IP and/or any part thereof.

        6.         7. in any other case, if one of the Parties fails to meet its liabilities under this Agreement and if the situation is not remedied within thirty (30) days (provided that remedy of this obligation is possible), the other Party shall be entitled to terminate this Agreement subject to the delivery of a three (3) months previous notice.

        9. If the GOP fails to cure or is unable or unwilling to cure a default of the Power Purchaser within the cure periods provided to the Power Purchaser under this Agreement, the Company shall have all of its rights and remedies with respect to such default as set forth in this Agreement; provided, however, that, with respect to any default of the Power Purchaser other than a payment default, if the GOP is diligently attempting to cure such default of the Power Purchaser and demonstrable progress toward affecting such cure is being made, the GOP shall be granted an additional period not exceeding ninety (90) Days to effect such cure before the Company may exercise its rights and remedies with respect to such default set forth in this Agreement.

        10. If AAA fails to meet any of its obligations under the Grant Agreement or this Agreement, in addition to the remedies expressly set forth in this Agreement, the City shall have all remedies available at law or in equity.
