1. By the Sale Agreement, the Assignor has assigned absolutely to the Assignee all of its right, title and interest in all the warranties from Seller related to the airframe of the Aircraft as per the Contract that are set forth in Exhibit A hereto (collectively, the “Airframe Warranties”), And the Assignee has accepted such assignment of the Airframe Warranties and hereby agrees in exercising its rights or in making any claim with respect to the Airframe Warranties it is bound by and will comply with all applicable terms, conditions and limitations of the Airframe Warranties including, without limitation, those relating to any exclusion or limitation of liabilities or warranties, indemnity and insurance.

        2. In connection with the Lease, the Assignee hereby agrees to make the Airframe Warranties available to the Lessee and authorises, with the consent of Seller, the Lessee to exercise all of Assignee’s rights and powers in the Airframe Warranties. The Lessee hereby accepts such authorisation and agrees in exercising its rights or in making any claim with respect to the Airframe Warranties it is bound by and will comply with all applicable terms, conditions and limitations of the Airframe Warranties.

        3. Seller shall be entitled to deal exclusively with the Lessee to the exclusion of the Assignee with respect to the Airframe Warranties. Effective as of the date of signature by Seller of the acknowledgment to this Airframe Warranties Letter Agreement, is entitled to deal exclusively with the Lessee to the exclusion of the Assignee with respect to the Airframe Warranties and shall have no further obligation towards the Assignee unless and until Seller receives a Lease Termination Notice.

        4. Seller agrees, undertakes and acknowledges that, upon its receipt of a Lease Termination Notice, a package of Airframe Warranties (the “Remaining Warranties”) which, as of the date of the Lease Termination Notice (as applicable) remains available to the Lessee under the Contract pursuant to this Agreement, shall revert to the Assignee, and the Lessee shall have no right to take any action with respect to such Remaining Warranties as of that date.

        6. In light of the above the Assignee authorises the Lessee to exercise, to the exclusion of the Assignee, all rights and powers of the Assignee with respect to the Airframe Warranties, until Seller receives a written notice from the Assignee addressed to the addressees set forth on Schedule I hereto, only on the conditions that, and stating that, (i) an Event or an Event of Default (in Chinese, “违约” or “违约事件”, as defined under the Lease) has occurred and is continuing and (ii) the Assignee is entitled to terminate the Lease in accordance with the provisions of the Lease (a “Lease Termination Notice”).

        7. Until Seller receives a Lease Termination Notice, Nothing contained herein shall modify in any way the rights of Seller under the Contract and under the Airframe Warranties or subject Seller to any liability or obligation to which it would not otherwise be subject.

        8. The construction, interpretation, validity and performance of this Notice shall be governed by the laws of the Republic of Italy. The Court (Tribunale) of Rome (Italy) shall have non-exclusive jurisdiction.

        9. Seller shall have no liability whatsoever to the Lessee arising out of or in conjunction with Seller’s reliance in good faith on the instructions contained herein and in any Lease Termination Notice.

        10. To perfect this assignment of rights in accordance with the provision of the Contract, we request that Seller acknowledge receipt of this Airframe Warranties Letter Agreement and confirm that Seller agrees to the terms hereof, and also that Seller confirms its consent to the assignment of the Airframe Warranties contained herein, by signing the acknowledgement and forwarding one original thereof to each of the undersigned.
