1. Unless otherwise provided in this Agreement, each Party shall bear all fees and expenses incurred in performing its obligations under this Agreement.

        2. Any increase in freight rates, including without limitation, fuel surcharges, bunker changes and other transportation charges incurred by Seller on shipments covered by this Agreement and hereafter becoming effective and any tax or governmental charge or increase in same (excluding any franchise or income tax or other tax or charge based on income) (i) increasing the cost to Seller of producing, selling or delivering the Product or of procuring materials used therein or (ii) payable by Seller because of the production, sale or delivery of the Product, such as Sales Tax, Use Tax, Retailer’s Occupational Tax, Gross Receipts Tax, Value Added Tax, may, at Seller’s option, be added to the price herein specified.

All taxes and duties levied by the Chinese government on AAA, in connection with and in the execution of the Contract, according to Chinese tax laws and the ““Agreement between the Government of People’s Republic of China and the Government of Germany for the Reciprocal Avoidance of Double Taxation and the Prevention of Fiscal Evasion with respect to Taxes on income AND Property”” shall be borne by BAW.

        4. Unless otherwise specified in this agreement, Party A shall bear and pay other duties, taxes, VAT, levies and charges arising out of or connected with the performance of the Agreement.

        5. Unless otherwise specified in this Agreement, the service charge in Annex 2 shall itemize all costs and expenses, as well as profit of Party A incurred for the in-warranty services for the Products, including but not limited to all personnel costs whether direct or indirect, overheads costs, profit, supervision costs, communication costs, office costs, testing costs and all other charges, expenses arising from the performance of this Agreement.

        6. Party B shall not be responsible for payment of any costs or liabilities associated with the employment of any individual Person engaged in providing any product or service included in this Agreement, including but not limited to, salary, income tax, central provident fund contributions, insurance, workmen's compensation, traffic and other infringements or communication costs.

        7. The payments by Party A to the Sub-Consultant in accordance with Schedule 4, shall constitute the only payments to the Sub-Consultant in connection with this Agreement and shall be inclusive of all costs expenses and overhead costs of every kind incurred by the Sub-Consultant in the performance of the Sub-Consultancy Services.

        8. Annual, quarterly, or monthly Fees may be charged in advance, and any new or changed Fees that are based on Claim count will go into effect as of the next Statement cycle after the effective date of the new or changed Fees. Upon receipt of each Statement, Client shall wire the full amount of Fees included in the Statement within two (2) Business Days to the bank account(s) designated by Party A.

        9. All expenses incurred in connection with the preparation and execution of this Agreement shall be borne by the Party incurring such expenses. The prevailing Party in any legal action, including any arbitration, brought by one Party against the other and arising out of this Agreement shall be entitled, in addition to any other rights and remedies it may have, to reimbursement of its expenses, including, but not limited to, arbitration costs, court costs and reasonable attorneys’ fees.

        10. Each fiscal agent described in paragraph (1) shall be reimbursed by each guaranteeing agency for all expenses and losses incurred by such fiscal agent in acting as agent on behalf of such guaranteeing agency, including, notwithstanding any other provision of law, attorneys’ fees and expenses of litigation.
