1. The technical support shall include, among others, guiding the customers, participations in all implant procedures, assistance with device configuration during all implant procedures, assistance with device interrogation and configuration during all scheduled follow-up visits if it is requested by the customer (after Distributor has been trained and certified), resolving minor technical issues and promptly respond to and handle technical issues as they arise, documenting all technical aspects, supporting clinical studies and activities related to clinical follow-up visits and data collection, and the like.

        2. During the Term of this Agreement, the Distributor shall assume full responsibility to provide such technical support for the Products, and to support implant, procedures and follow-up visits for all patients in the Distributor Territory at no cost to Party A,

        3. Licensor’s Affiliates and/or other supply companies providing technical assistance, supplier components, modules or shipping units of Licensed Products shall negotiate directly and separately with the Licensee about the specific contractual terms and conditions of such agreements, conclude under own responsibility separate standalone agreements with Licensee, and become party to such agreements according to Clause above.

        4. Any provision of technical assistance and supply of components, modules or shipping units of the Licensed Products shall be negotiated separately and concluded subject to separate written agreements between Licensee and relevant supply companies which have the sufficient expertise to provide such technical assistance and to supply such components, modules or shipping units of the Licensed Products.

        5. Licensor shall not assume or bear any responsibility or liability arising from or in connection with the provision of technical assistance, supply of components or subcontracting as stated above.

        6. The exact form and content of the technical support shall be determined by the Contractor's judgment of the Subcontractor's experience and ability to work independently.

        7. All the costs incurred in the technical assistance shall be borne by the buyer pursuant to terms and conditions specified in Appendix 4.

        8. Distributor shall provide technical assistance to its customers, with respect to the Products, consistent with AAA’s policies and the laws of the Territory.

        10. If a technical assistance request expires, this Part does not prevent the giving of a fresh technical assistance request in the same terms as the expired technical assistance request.
