1. The Parties shall at all times strictly comply with all applicable laws, rules, regulations, and governmental orders, now or hereafter in effect, relating to their performance of this Agreement. Each Party further agrees to make, obtain, and maintain in force at all times during the term of this Agreement, all filings, registrations, reports, licenses, permits, and authorizations (collectively, "Authorizations") required under applicable law, regulation, or order for such Party to perform its obligations under this Agreement.

2. The Service Provider shall procure compliance with the requirement of all applicable employment related laws and regulations.

3. Each party will comply with all Laws applicable to it related to its obligations hereunder. Party A shall have no obligation to advise Client about Client’s compliance with any applicable Law, including, without limitation, HIPAA/HITECH, ERISA, ACA, ADA, and state Laws applicable to insurers and/or benefit plans.

4. The parties acknowledge and agree that with respect to certain lines of business and/or types of plans, programs, and/or products, additional and/or different regulatory provisions may be required under this Agreement. The parties agree to those additional and/or different regulatory provisions applicable hereunder as set forth in Exhibit I.

5. Party B shall be obliged to abide by all safety operating instructions, including the imposed limitations and/or measures safe-guarding the good condition and long service life of the Leased Facilities, and in compliance with all legal requirements. Without prejudice to anything above, Party B shall strictly abide by the relevant provisions of the fire control regulations of the People's Republic of China and any other stricter rule imposed by Party A.

6. You and we will comply with applicable data protection law in relation to any personal data shared with us under the agreement.

7. The Agent shall observe all government laws and regulations applicable to the sale of air transportation, or any other acts performed by the Agent under this Agreement, in the territory or territories where the Approved Locations of the Agent are situated and in all territories to or through which the Agent may sell air passenger transportation.

8. The Borrower shall comply with all applicable Laws except to the extent that non-compliance with any applicable Law would not have a Material Adverse Effect.

9. Licensee hereby warrants that it will not, directly or indirectly, and that it has no knowledge that other persons will, directly or indirectly, make any payment, gift or other commitment to its customers, to government officials or to agents, directors and employees of AAA, or any other party in a manner contrary to applicable laws (including but not limited to the U.S. Foreign Corrupt Practices Act and, where applicable, legislation enacted by member states and signatories implementing the OECD Convention Combating Bribery of Foreign Officials), and shall comply with all relevant laws, regulations, ordinances and rules regarding bribery and corruption.

10. LICENSEE is required to observe any import or export regulations and customs duties of the PRC, and may not re-export SOFTWARE in violation of these or other applicable export laws or regulations.
