1. The Tenant hereby expressly agrees that default in payment of rent and other charges and/or submission of the statement of Gross Receipts as referred to Clause 3 and/or Clause 5 of this Letter of Offer shall be a material breach of the terms of this tenancy.

9. All amounts stated in this Agreement are net of, and Party B agrees to pay, or reimburse Party A for, all taxes, fees and other governmental charges of any kind that may be imposed upon the lease, any amount paid to Party A hereunder, provided, however, each Party bears sole responsibility for all taxes and assessments upon its own real and personal property and net income.

Any hindrances in the possession or use of the Leased Facilities, failure to possess and use the Leased Facilities, including full or partial restriction of the possession and use of the Leased Facilities or failure to use the Leased Facilities regardless of the reason (including loss of possession of the Leased Facilities by Party B, destruction, loss, seizure of the Leased Facilities, initiation of any legal proceedings against Party B or the Leased Facilities and other similar cases) shall not exempt Party B from the payment obligations arising from the Agreement  (including Lease Payments and interest payment).
