1. This Agreement shall be binding on and shall inure to the benefit of the Parties, their respective successors, successors in title, and assigns, and each Party agrees, on behalf of it, its successors, successors in title, and assigns, to execute any instruments that may be necessary or appropriate to carry out and execute the purpose and intentions of this Agreement and hereby authorizes and directs its successors, successors in title, and assigns to execute any and all such instruments.

2. Each and every successor in interest to any Party, whether such successor acquires such interest by way of gift, devise, assignment, purchase, conveyance, pledge, hypothecation, foreclosure, or by any other method, shall hold such interest subject to all of the terms and provisions of this Agreement. The rights of the Parties and their successors in interest, as among themselves, shall be governed by the terms of this Agreement, and the rights of any Party or successor in interest to assign, sell, or otherwise transfer or deal with its interests under this Agreement shall be subject to the limitations and restrictions of this Agreement.

3. This Agreement shall not be dissolved by the death or demise of Party A or the Consultant. Their respective rights and obligations shall pass to their successors.

4. Subject to the foregoing limits on assignment, this Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, executors, administrators and permitted successors and assigns.
译文：在不违反上述转让限制规定的前提下，本协议应符合双方及其各自的继承人、执行人、管理人及合法承继人和受让人的利益，并对其具有约束力。
5. Any person whose, by operation of law, transfer or other means whatsoever shall become entitled to any share, shall be bound by every notice in respect of such share which previously to his name and address being entered on the Register of Members shall be duly given to the person from whom he derives his title to such share.

6. However, in the case of assignment, the Buyer shall remain responsible for performance by the assignee, its successor and assigns of all the Buyer's obligations, liabilities and responsibilities under this Contract.

7. All claims for undeliverable Distributions must be made on or before six months after the Distribution is made, after which date all unclaimed property shall revert to the Liquidation Trustee free of any restrictions thereon, and the Claim of any holder or successor to such holder with respect to such property shall be discharged and forever barred notwithstanding any federal or state escheat laws to the contrary.

8. This Agreement and the documents referred to in it, constitute the entire agreement and understanding of the Parties and replace by agreement of the Parties, without requirement of an additional specific termination declaration by either Party, any previous agreements between the Parties and/or their predecessors relating to the subject matter of this Agreement.

9. This Agreement shall not be assignable, in whole or in part, by either Party without the prior consent of the other Party, and any such assignment without prior consent shall be void, provided however that either Party may assign this Agreement without consent solely to an affiliate or to a successor of substantially all the business of the Party to which this Agreement pertains.
译文：未经另一方事先同意，任何一方不得全部或者部分转让本协议，未经事先同意对本协议的任何转让均无效，但任何一方可以无需另一方同意而将本协议转让给子公司，或转让给承担转让人大部分业务并且与本协议相关的承继人。
10. This Agreement shall not confer any rights or remedies upon any person other than the parties and their respective successors and permitted assigns.
