1. An event of default (an “Event of Default”) shall be deemed to occur when: Buyer fails to make payment when due under this Agreement. Buyer fails to provide acceptable security or assurance of its ability to perform its obligations under this Agreement in accordance with Section 2 of the General Terms and Conditions. Either Party repudiates any obligation to the other Party under this Agreement, or breaches any obligation, representation, covenant or warranty in any material respect under this Agreement.

PARTY A may terminate this Agreement without penalty if PARTY B files or has filed against it a petition in bankruptcy, for reorganization or for the adoption of an arrangement under any present or future bankruptcy, reorganization or similar law (which petition if filed against PARTY B shall not be dismissed within 90 days from the filing date), or if PARTY B makes a general assignment for the benefit of its creditors or is adjudicated a bankrupt, or if a receiver or trustee of the PARTY B's business or all or substantially all of the PARTY B's property is appointed, or if PARTY B discontinues its business.

Without derogating from its entitlement in terms of clause 7. 1. 1,Consultant shall have the right to terminate this Agreement by notice with immediate effect if -bankruptcy, insolvency, re-organisation or other proceedings analogous in nature and effect, are instituted by or against the Sub-Consultant; or the Sub-Consultant is dissolved or liquidated, whether voluntarily or involuntarily, or an administrator or trustee is appointed for all or a substantial part of the assets of the Sub-Consultant; or the Sub-Consultant, or a director, official or employee of the Sub-Consultant, is found to have committed a deed of fraud, bribery, corruption, or any other deed of which dishonesty is an element; or the Sub-Consultant makes any arrangement with, or assign in favour of his creditors or agrees to carry out the agreement under a committee of inspection of this creditors.

4. Notwithstanding any other provision in this Agreement, this Agreement may be terminated upon notice by Party A: (i) if any court or governmental or regulatory agency issues Client an order or finding of impairment or insolvency or issues an order to cease and desist from doing business; (ii) if Client fails to obtain required regulatory approvals in connection with Client and/or the Benefit Plan (e.g., Client fails to satisfy CMS or state financial solvency requirements); (iii) if Client makes an assignment for the benefit of creditors, has a voluntary or involuntary petition filed under Title 11 of the United States Code (or any similar statute now or hereafter in effect), or has a receiver, custodian, conservator, or trustee appointed with respect to all or a substantial part of its property; or (iv) if Client has a proceeding commenced against it which substantially impairs its performance hereunder.

5. A period of overdue payment of over 5 working days shall be deemed breach of this Contract.

6. A provision of the Companies Law or of these Articles requiring or authorising a thing to be done by or to a Director and the Secretary shall not be satisfied by its being done by or to the same person acting both as Director and as, or in place of the Secretary.

7. Notwithstanding anything contained in this Agreement, the Joint Lead Managers may, by notice to the Issuer given at any time prior to payment of the net subscription monies for the Bonds to the Issuer, terminate this Agreement in any of the following circumstances:
