1. No objection shall be raised to the qualification of any voter except at the meeting of members or adjourned meeting of Members at which the vote objected to is given or tendered and every vote not disallowed at the meeting shall be valid. Any objection made in due time shall be referred to the chairman whose decision shall be final and binding on all parties.

5. Any and all dispute, disagreement or differences (“disputes”) arising out of or in connection with this Agreement shall be settled through friendly negotiation by and between two parties hereto.

6. The counterparty and the guarantor waive, to the fullest extent of law, any objection either may have to the laying of venue of any suit, action or proceeding arising out of or relating to this guarantee in any court referred to above, including the defense of an inconvenient forum.

10. An order will be deemed to have been accepted if TSP does not object without undue delay.
