1. Should any provision of this Agreement or any portion thereof be deemed invalid, unenforceable, or against public policy, the remainder of this Agreement, or the application of such provision or portion thereof to persons or circumstances other than those to which it is held invalid, unenforceable, or against public policy, shall not be affected thereby and shall remain valid and enforceable.

2. If, at any time subsequent to the date hereof, any provision of this Agreement shall be held by any court of competent jurisdiction to be illegal, void, or unenforceable, such provision shall be of no force and effect and shall not impair the enforceability of any other provision of this Agreement. The Parties agree that any provision held to be illegal, void or unenforceable shall be deemed automatically amended so as to be enforceable to the maximum extent allowable under applicable law.

3. Any provision of the Agreement which is finally determined to be invalid or unenforceable in any jurisdiction, shall be ineffective to the extent of such invalidity or unenforceability without invalidating or rendering unenforceable the remaining provisions. The offending provision shall be replaced by valid and enforceable provisions that bring about the results that come as close to the invalid or unenforceable provisions as possible.

4. SEVERABILITY: The determination that any provision of this Agreement is invalid or unenforceable shall not invalidate this Agreement, and the remainder of this Agreement shall be valid and enforceable to the fullest extent permitted by law.

5. In the event that any one of the obligations under this Agreement is or becomes illegal, invalid or unenforceable, the legality, validity and enforceability of the remaining provisions will not be affected.

6. In the event that any provision of this Agreement, entered into pursuant to this Agreement is held to be illegal or unenforceable, such provision shall be limited or stricken to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and be enforceable by and between the Parties hereto.

7. In the event that any provision of this Agreement or the application thereof, becomes or is declared by a court of competent jurisdiction to be illegal, void or unenforceable, the remainder of this Agreement will continue in full force and effect and the application of such provision to other persons or circumstances will be interpreted so as reasonably to effect the intent of the parties hereto.

8. In the event that any Clause or any part of any Clause in this Agreement is declared invalid or unenforceable by the judgment or decree by consent or otherwise of a court of competent jurisdiction in a court proceeding on a dispute resulting from this Agreement from whose decision no appeal is or can be taken, all other Clauses or parts of Clauses contained in this Agreement shall remain in full force and effect and shall not be affected by such finding for the term of this Agreement, and the Agreement shall be given effect as if the invalid, illegal or unenforceable provision had been deleted and replaced by a provision with a similar economic effect to that of the deleted provision if this can be achieved by another provision.

In the event such assignment of rights in AAA Inventions cannot be made or is not enforceable by operation of applicable law, INSTITUTION shall grant AAA an irrevocable, paid-up, royalty-free, and exclusive (even as to INSTITUTION) license, with right to sublicense, to make, use, offer for sale, sell, and import throughout the world all AAA Inventions.

If any provision or part-provision of this agreement is invalid, illegal or unenforceable, the parties shall negotiate in good faith to amend such provision so that, as amended, it is legal, valid and enforceable, and, to the greatest extent possible, achieves the intended commercial result of the original provision.
