Party B reserves the right, with reasonable advance notice of three (3) days and during normal business hours to audit and request visual evidence of damaged Products and Parts for further evaluation. The Service Provider shall keep accurate and reasonably detailed books and records relating to its performance hereunder. Party B reserves the right to audit the Service Provider to verify the Service Provider’s performance.

2. Party B reserves the right, with reasonable advance notice of three (3) days and during normal business hours to audit records to ensure the accuracy of invoices provided by the Service Provider to both Party B and its Customers for the Services.

3. Party B also reserves the right with reasonable advance notice, to audit each ASC as often as is reasonably necessary to comply with Party B’s obligations to Customers or other third parties. The Service Provider shall maintain copies of Services rendered, Service Records, transportation, repair action and inventory records for a period of one (1) year in support of potential audits.

4. Notwithstanding anything to the contrary, Client shall have the right to conduct surprise audits and inspect any ASC, the registered office and other facilities used by the Service Provider to render the Services herein, the operating procedures, processes and security measures adopted by the Service Provider, the conditions of the Products, Spare Parts, records, documents, books of accounts and the like pertaining to the Services, without providing any prior notice to the Service Provider.

5. Party A will allow Government Agencies to audit Services provided hereunder as and to the extent required by Law. With such notice, Client shall provide Party A with a copy of the Government Agency’s audit request (portions not relevant to Party A may be redacted).

6. Party A may inspect and audit, or cause to be inspected and audited, once annually, the books and records of Client directly relating to this Agreement, including, without limitation, the existence and number of Eligible Members.

7. Auditors shall, if so required by the Directors, make a report on the accounts of the Company during their tenure of office at such times as shall be required by the Directors or any meeting of the Members.

8.
