1. FCA named place of delivery in the country of the Supplier. The Supplier shall be entitled to charge the VAT on all supplies and services made by the Supplier to the Purchaser under an order in respect of which VAT must be paid or accounted for under the law of any jurisdiction, provided that the Supplier shall, upon charging such VAT, issue to the Purchaser a proper VAT invoice in the form and within the time limits required by the VAT legislation of the concerned countries and regulations, in force at the time of issuing the invoices.

If the Purchaser’s currency is likewise not freely convertible, the export currency customary in the Supplier's country shall be the contractual and invoicing currency.

3. The Product is to be delivered DDU to the Customer’s third party manufacturing facility at AAA and BBB (INCOTERMS 2000).

4. The Product shall be shipped to the address specified on the Purchase Order. The Supplier shall arrange for the transportation of the Product to the above-mentioned address and shall use its best efforts to select the most economical carriers and agree on optimal freight conditions considering all their other shipments.

5. Delivery terms are EX Works (Incoterms 2010), Party A’s designated facility with the exception that Party A is responsible for obtaining the export license and completing all export clearance documents. Party A will schedule delivery in accordance with its published lead-time unless Buyer's Order requests a later delivery date or Party A agrees in writing to an earlier delivery date.

6. Not later than three working days from the implantation procedure in the Territory, the Distributor will fill and deliver to the Company the “Delivery Slip” document, a copy of which is attached as Exhibit G hereto.

7. Furthermore, if the delay in delivery of the Buyer's supplies should exceed ten (10) days from the date specified by the Builder, the Builder shall be entitled to proceed with construction of the Vessel without installation of such items (regardless of their nature or importance to the Buyer or Vessel) in or on the Vessel without prejudice to the Builder's right hereinabove provided, and the Buyer shall accept the Vessel so completed.

9. In the event that Party A considers, in its sole opinion, that an order for New Stock placed by Party B is sufficiently large to enable a delivery directly by Party A's suppliers to Party B, then Party A will inform its suppliers of such arrangements and the Parties shall agree upon a suitable location for delivery directly to China.

10. Party A shall, unless otherwise agreed in writing deliver the PRODUCTS FCA (INCOTERMS 2000) to the destination and on the date stated in respective purchase order.
