鉴于乙方所知悉的甲方商业秘密对甲方生产和经营活动具有重要影响，为保护双方的合法权益，根据国家有关法律法规之规定，就乙方竞业限制事宜，甲乙双方本着平等、自愿、公平和诚实信用的原则签订本协议，以资共同遵守。

译文：Whereas Party A's business secrets known by Party B are significant for Party A's business management and operation. Therefore, Party A and Party B agree as follows in respect of Party B's Non-competition obligations on the basis of equality, free will, and bona fide in accordance with the applicable laws and regulations of the People's Republic of China in order to protect the legitimate rights and interests of both Parties.

竞业限制或竞业禁止：指用人单位有条件的要求员工不得在全球范围内直接或间接从事自己存在竞争的业务，具体以本协议约定为准。

译文：Non-competition: refers to the Employer's conditional requirement that the Employee shall not engage, whether directly or indirectly, in any business competitive with Party A's business anywhere in the world, and shall be subject to this Agreement.

甲方：包括甲方及其所有分支机构、子公司、办事处和关联公司，其中关联公司包括甲方本身及其现在和将来从事该业务的关联公司。

译文：Party A: refers to Party A and all its branches, subsidiaries, offices and Affiliates, wherein Affiliates include Party A and its current and future Affiliates engaged in the business hereunder.

关联公司：直接或者通过一个或多个中间人间接控制某特定人，或受某特定人控制，或处于与某特定人共同控制之下的社团、公司、合伙组织（无论有限、无限或其它方式）或任何其它实体或组织。

译文：Affiliate: refers to any society, company, partnership (whether limited, unlimited, or otherwise), or any other entity or organization controlling, controlled by, or under common control with a specific person, whether directly or indirectly through one or more intermediaries.

以他人名义：以任何除甲方以外的单位的业主、管理人员、股东（不包括持有公开上市公司或在股票交易所登记的公司的少于5%的已发行股票）、顾问、董事、高级职员或雇员的名义。

译文：In the Name of Any Other: in the name of any owner, manager, shareholder (excluding any holder of less than 5% of the issued shares of a company which is publicly listed or registered in a stock exchange), consultant, director, officer, or employee of any entity other than Party A.
