1. 乙方关联人包括但不限于：

译文： Party B's Affiliates include but are not limited to:
（1）乙方近亲属，即配偶、父母、兄弟姐妹、年满18周岁的子女、配偶的父母、 子女的配偶、配偶的兄弟姐妹、兄弟姐妹的配偶；
 (1) Party B's close relatives, including Party B's spouse, parents, siblings, children who have attained to the age of 18 years, parents-in-law, children's spouses, spouse’s siblings, and siblings' spouses; and
（2）乙方担任管理人员或合伙人或直接或间接拥有10%或以上权益的机构。
 (2) entities of which Party B acts as a manager or partner or holds, whether directly or indirectly, 10% or more equity.

2. 激励计划：上海妙可蓝多食品科技股份有限公司（下简称“妙可蓝多”）根据中国证券监督管理委员会、上海证券交易所等监管部门的相关规定实施的股权激励计划或员工持股计划。

译文：Incentive Plan: refers to any equity incentive plan or employee stock ownership plan adopted by Shanghai Miaokelanduo Food Technology Co., Ltd. (hereinafter referred to as "Miaokelanduo") in accordance with the applicable provisions of China Securities Regulatory Commission, Shanghai Stock Exchange, and other regulatory authorities.

3. 职后的竞业限制期间内，乙方不得从事竞业行为。

译文：Party B shall not engage in any Competitive Acts during the Post-employment Non-competition Period.

4. 离职后竞业限制期间：自乙方与甲方解除或终止劳动关系（含提前终止劳动关系）之日起计算，至劳动关系解除或终止后24 个月后的次日止。但是，甲方仍可通过下列方式之一缩短竞业限制期间：

译文：The Post-employment Non-competition Period shall be the period from the date of cancellation, termination, or early termination of the employment relationship between Party A and Party B to the following day of the date twenty-four (24) months after such cancellation, termination, or early termination.      Provided, however, that Party A may shorten the Non-competition Period as follows:
（1）乙方与甲方解除或终止劳动关系之日前（含当日），甲方书面通知乙方缩短直至取消竞业限制义务；
 (1) Before or on the date of cancellation, termination, or early termination of the employment relationship, Party A may notify Party B in writing to shorten the Non-competition Period or even cancel Party B's Non-competition obligations; or
（2）离职后竞业限制期间内，甲方至少提前30日通知乙方终止竞业限制义务。
 (2) During the Post-employment Non-competition Period, Party A may terminate Party B's Non-competition obligations by a written notice at least thirty (30) days in advance.

5. 竞业限制义务提前终止或到期后，甲方无需再支付竞业限制补偿。甲方无需支付提前终止竞业限制义务的额外补偿。

译文：Upon early termination or expiration of Party B's Non-competition obligations, Party A shall not be obligated to pay any Non-competition compensation to Party B. Party A shall not be obligated to pay any additional compensation for early-termination of Party B's Non-competition obligations.
