乙方离职后，未履行双方约定的竞业限制义务的，应向甲方支付违约金。违约金的数额为乙方离职前24个月的标准年薪含年终奖总和。同时，乙方应将甲方在离职后支付的竞业限制补偿金全部返还给甲方。
Where Party B fails to perform the Non-competition obligations as agreed after the termination of its service, it shall pay liquidated damages to Party A. The amount of liquidated damages shall be equivalent to the sum of Party B's standard salaries (including year-end bonuses) for twenty-four (24) months before the termination of Party B's service. In addition, Party B shall return any and all the Non-competition compensations paid by Party A after the termination of Party B's service.
如甲方要求乙方改正违反竞业限制的行为，而乙方收到甲方通知后在30日内仍未改正的，继续从事竞业行为的，则甲方有权再次要求乙方按上款约定承担违约金。
Where Party A requires Party B to rectify its violation of the Non-competition obligations and Party B fails to do so within thirty (30) days upon receipt of the notice from Party A and continues to perform any Competitive Act, Party A may claim liquidate damages against Party B for a second time as agreed in the preceding paragraph.
乙方支付的违约金不足以赔偿甲方损失的，还应赔偿甲方损失。甲方损失包括但不限于甲方直接或间接的利润损失、商誉损失、业务机会损失及为制止违约行为所支付的合理费用(律师费、诉讼费、调查费用、公证费用等)。
Where the amount of the liquidated damages paid by Party B is insufficient to cover Party A's losses, Party B shall make up for the shortage. Party A's losses include, but are not limited to, any and all the direct and indirect losses of profits, goodwill, and business opportunities, and the reasonable costs and expenses (attorney's fees, legal fees, investigation fees, notarization fees, etc.) paid by Party A to prevent Party B from further breach.
本协议约定的违约责任是同时并列的，甲方可以要求乙方承担全部违约责任，同时，甲方向乙方主张其中的部分违约责任的，不视为甲方放弃追究其他违约责任的权利。
The liabilities for breach agreed herein are accumulative and additional to each other, and Party A may hold Party B liable for any and all its breaches. Party A's claim for any breach of Party B shall not be deemed a waiver of claim for any other breach.
